Ownership & IP

The Client retains ownership of Client-owned assets and materials provided to Sanado for the Project, subject to any applicable third-party rights or licenses.

The Client receives the completed website as part of the purchased website Package in accordance with the applicable ownership and licensing terms for that Package. Sanado Managed Hosting and paid Website Updates are optional services and are not required for the Client to retain the website after delivery.

Where a Project is deployed to a Client-owned account or through Sanado Managed Hosting, Client-owned accounts remain owned and controlled by the Client. Sanado may use authorized access for the purpose of building, configuring, deploying, or supporting the Project as authorized by the Client.

Ownership, transfer, and licensing of source code are governed by the specific source-code terms applicable to the purchased Package or Project. Nothing in these Terms automatically transfers ownership of Sanado's pre-existing intellectual property or reusable materials.

Sanado retains ownership of its pre-existing intellectual property, reusable components, frameworks, templates, systems, tools, development methods, general know-how, and other materials developed or owned independently of the Client's Project, unless expressly transferred to the Client in writing.

Third-party assets, software, libraries, fonts, images, services, and other materials remain subject to their applicable third-party licenses and terms. The Client's use of such materials is limited to the rights provided by the applicable license.

Nothing in these Terms transfers ownership of a Client's domain, business identity, Client-provided content, or Client-owned third-party accounts to Sanado.

The standard Sanado website Packages provide the Client with the completed production website and the agreed Deliverables described in the selected Package. The standard Packages do not include the delivery or transfer of the underlying source code unless the applicable Package, Add-on, or written agreement expressly states otherwise.

Sanado retains ownership of the source code, reusable components, frameworks, templates, development systems, tools, and other technical materials used to create or operate the Project, except for Client-owned materials and third-party materials that are subject to their respective ownership or licensing terms.

The Client receives the rights necessary to use and operate the completed production website delivered under the agreed Project scope. Such use does not automatically transfer ownership of Sanado's underlying source code or reusable intellectual property to the Client.

If source-code delivery or transfer is available as a separate service, the applicable scope, price, licensing terms, and transfer conditions must be agreed in writing before the transfer takes place.

Nothing in these Terms grants the Client a right to obtain, copy, resell, redistribute, modify, or commercially reuse Sanado's underlying source code or reusable development materials unless such rights have been expressly granted in writing.

Third-party libraries, software, fonts, assets, and other materials remain subject to their applicable licenses and are not transferred beyond the rights permitted by those licenses.

Unless otherwise agreed in writing, Sanado may display or reference completed and publicly launched Projects in Sanado's portfolio, website, social media, case studies, presentations, promotional materials, and other marketing communications.

Sanado may use the Client's publicly available business name, project name, website screenshots, visual representations of the completed Deliverables, and a link to the publicly launched Project for portfolio and promotional purposes.

Sanado will not intentionally disclose confidential information provided by the Client for the Project unless the information has become publicly available or the Client has given permission for its disclosure.

If the Client requires a Project to remain confidential or does not want the completed Project to be displayed in Sanado's portfolio, the Client must communicate this requirement to Sanado before the Project is publicly showcased.

Sanado will not represent that the Client has endorsed Sanado or its services unless the Client has provided such endorsement or permission.

This Section does not transfer ownership of the Client's business, trademarks, content, or other Client-owned materials to Sanado.

Sanado and the Client may receive or have access to non-public information in connection with a Project. Each party agrees to handle such information responsibly and not intentionally disclose it to unauthorized third parties except as reasonably necessary for the Project or as required by applicable law.

Confidential information may include non-public business information, internal documents, account information, unpublished content, business plans, private Project materials, and other information that a reasonable person would understand to be confidential.

Sanado may use confidential information provided by the Client only to the extent reasonably necessary to provide, support, manage, or complete the agreed Project and related services.

Information will not be treated as confidential where it is publicly available through no breach of these Terms, was already lawfully known by the receiving party, is independently developed without using the confidential information, or must be disclosed under applicable law or a valid legal requirement.

The Client is responsible for providing information and access through reasonably secure methods where appropriate. Sanado may use third-party services and providers reasonably necessary to deliver the Project, subject to their applicable terms and security practices.

Nothing in this Section prevents Sanado from displaying publicly launched Projects in accordance with Section 31 or from using general knowledge, skills, experience, or non-confidential methods developed through its work.

This Section does not require either party to disclose information beyond what is reasonably necessary for the Project.
