27. Cancellation & Refunds
The Client may request cancellation of the Project before Production has started.
If the Client cancels the Project before Production has started, the Client is eligible for a full refund of the amount paid for the original Project, unless Sanado has already incurred non-refundable third-party costs or other agreed expenses specifically incurred for the Client's Project.
Once Production has started, the Project has entered active production and no automatic full refund is available.
If the Client requests cancellation after Production has started, Sanado may review the work completed, the Project stage, and any costs incurred. Any refund, if applicable, will be determined by Sanado on a case-by-case basis and is not guaranteed.
If the Client delays the Project, fails to provide required information or materials, or becomes inactive, the Project may be paused in accordance with these Terms. Client delay or inactivity does not automatically create a right to cancel the Project or receive a refund.
Approved Add-ons, additional services, completed work, and non-refundable third-party costs may not be refundable once the applicable work or cost has been incurred.
Nothing in this Section limits any refund rights that may be required under applicable law.
28. Sanado's Right to Refuse or Cancel a Project
Sanado may refuse, pause, or cancel a Project where continuing the Project is not reasonably possible or appropriate.
This may include situations where the Client requests services or content that are unlawful, misleading, abusive, harmful, infringing, or outside Sanado's agreed services or reasonable technical capabilities.
Sanado may also pause or cancel a Project where the Client provides materially inaccurate information, fails to provide required cooperation for an extended period, engages in abusive or inappropriate conduct, or otherwise materially breaches these Terms.
Where reasonably possible, Sanado will communicate the reason for the refusal, pause, or cancellation to the Client.
If Sanado cancels a Project before Production has started, the Client will generally be eligible for a refund of amounts paid for work that has not been performed, subject to any non-refundable third-party costs or expenses specifically incurred for the Client's Project.
If Sanado cancels a Project after Production has started, Sanado will review the Project status, work completed, and applicable costs. Where appropriate, Sanado may provide a refund for the unused portion of the agreed services, but no refund is required for completed work, completed Deliverables, or non-refundable third-party costs already incurred.
Sanado's refusal, pause, or cancellation of a Project does not affect the Client's obligation to pay for services, Deliverables, Add-ons, or other work already completed or costs already incurred in accordance with the agreed Project scope.
Nothing in this Section limits any rights or obligations required by applicable law.
29. Service Limitations & Results
Sanado will provide the agreed services and Deliverables with reasonable professional care and in accordance with the confirmed Project scope.
Unless expressly agreed in writing, Sanado does not guarantee any specific business, financial, marketing, search engine, traffic, conversion, employment, client acquisition, sales, or other commercial results from the use of the Deliverables or services.
Where a Project includes website optimization, SEO-related work, content structure, performance improvements, or similar services, Sanado does not guarantee specific search engine rankings, indexing results, traffic levels, visibility, leads, conversions, or other outcomes that depend on factors outside Sanado's reasonable control.
Sanado does not control and cannot guarantee the availability, policies, algorithms, decisions, features, pricing, performance, or continued operation of third-party platforms, search engines, hosting providers, social media platforms, payment providers, or other external services.
The Client is responsible for their own business decisions, commercial activities, marketing activities, and use of the completed Deliverables.
Nothing in this Section limits any service commitment or Deliverable expressly included in the Client's confirmed Package or Project scope.
30. Limitation of Liability
To the extent permitted by applicable law, Sanado's liability arising from or relating to a Project, service, Deliverable, or these Terms will be limited to the amount paid by the Client to Sanado for the specific Project or service giving rise to the claim.
Sanado will not be liable for indirect, incidental, special, consequential, or punitive losses or damages, including loss of profits, revenue, business opportunities, anticipated savings, goodwill, data, or other commercial losses arising from the use of, inability to use, or performance of a Project, Deliverable, or third-party service.
Sanado is not responsible for losses caused by Client-provided information or materials, Client actions or decisions, unauthorized access to Client-controlled accounts, third-party services, or circumstances outside Sanado's reasonable control.
Nothing in these Terms excludes or limits Sanado's responsibility where such exclusion or limitation is not permitted by applicable law.
Nothing in this Section removes Sanado's obligation to provide the agreed services and Deliverables in accordance with the confirmed Project scope.
