1. Introduction & Purpose
These Client Terms & Conditions ("Terms") establish the terms governing services provided by Sanado to the individual or entity purchasing Sanado's services ("Client").
These Terms apply to the Client's selected Sanado package, confirmed add-ons, and related services agreed upon through the Sanado client onboarding and order process.
The Terms define the scope of services, package limits, payment requirements, Client responsibilities, content submission, production, revisions, approval, launch, website updates after launch, ownership, cancellation, refunds, hosting, and other conditions related to the Client's project.
By selecting the Terms & Conditions confirmation checkbox in the Sanado client form, the Client confirms that the Client has read, understood, and agreed to these Terms before production begins.
These Terms, together with the Client's confirmed package, approved add-ons, and applicable project details submitted through the Sanado client process, form the basis of the agreement between Sanado and the Client.
2. Definitions
For the purposes of these Terms, the following definitions apply:
Sanado — The service provider operating under the Sanado brand.
Client — The individual or entity purchasing Sanado services.
Project — The specific website and related services purchased by the Client under a confirmed Package and any approved Add-ons.
Package — One of Sanado's predefined service packages: Starter, Pro, or Growth.
Add-on — An additional service, feature, quantity, or deliverable purchased separately from the selected Package.
Deliverables — The completed work Sanado agrees to provide as part of the selected Package and approved Add-ons.
Production — The period during which Sanado actively works on the Client's Project.
Launch — The point at which the completed website is approved and made available on its production domain.
Revision — A requested change to existing work included within the selected Package.
Business Day — A day from Saturday through Thursday, excluding Friday and officially recognized public holidays.
Sanado Managed Hosting — Sanado's optional recurring professionally managed production hosting service that keeps the Client's website online. It does not include content updates, revisions, or new development.
Website Update — A paid change to the Client's existing launched website, requested when needed. Website Updates are not a monthly subscription.
Third-Party Services — External services or platforms used in connection with a Project, including domain providers, hosting or deployment platforms, email services, payment platforms, and other external providers.
3. Services & Scope
Sanado provides services according to the Package selected by the Client and any Add-ons confirmed as part of the Project.
The agreed scope of a Project consists of the Deliverables and quantities included in the selected Package, together with any approved Add-ons.
Package limits apply to the quantities and services specified for the selected Package at the time of purchase. Services, features, or deliverables offered by Sanado but not included in the selected Package are not automatically included in the Project.
If the Client requests work that falls outside the agreed scope, Sanado may treat the request as an Add-on or scope change. Sanado will communicate any applicable additional requirements or charges before proceeding with the additional work.
Additional or out-of-scope work does not automatically cancel the original Project, change the agreed Package, or create a refund entitlement.
Sanado is responsible for delivering the agreed scope of the Project. The Client is responsible for providing the information, materials, feedback, and approvals required for Sanado to complete that scope.
34. Changes to These Terms
Sanado may update or modify these Terms from time to time to reflect changes to its services, business operations, policies, legal requirements, or other relevant circumstances.
Any updated version of these Terms will apply from the date it is published or otherwise communicated as the effective date.
Unless otherwise required by applicable law or expressly agreed with the Client, changes to these Terms will not retroactively change the agreed terms of a Project that was already confirmed before the updated Terms became effective.
New Projects, new Add-ons, renewed services, and future service arrangements may be subject to the version of these Terms in effect at the time they are confirmed.
Where a change to these Terms is required by applicable law or is necessary to address a legal, security, technical, or operational issue, Sanado may apply the change as required or reasonably necessary.
The Client is encouraged to review the current version of these Terms before purchasing a new service or entering into a new Project arrangement.
35. Disputes & Applicable Law
If a dispute, concern, or claim arises in connection with a Project, service, Deliverable, payment, or these Terms, the Client and Sanado should first attempt to resolve the matter through direct communication and good-faith discussion.
The Client should contact Sanado with sufficient information about the issue to allow Sanado a reasonable opportunity to review and respond.
Nothing in these Terms prevents either party from exercising rights or remedies available under applicable law.
These Terms and any dispute arising from them will be interpreted and handled in accordance with the applicable laws and legal requirements relevant to the parties and the applicable transaction.
Where a specific governing law, jurisdiction, court, arbitration process, or other dispute-resolution procedure is required or expressly agreed in writing, that arrangement will apply to the extent permitted by applicable law.
36. Events Outside Reasonable Control
Neither Sanado nor the Client will be responsible for a delay or failure to perform an obligation under these Terms where the delay or failure is caused by circumstances beyond that party's reasonable control.
Such circumstances may include natural disasters, war, armed conflict, civil unrest, government actions or restrictions, widespread internet or infrastructure failures, power outages, major third-party service disruptions, public emergencies, or other events that could not reasonably be prevented or controlled.
The affected party should, where reasonably possible, inform the other party of the circumstances and take reasonable steps to reduce the impact on the Project.
A delay or failure caused by circumstances outside a party's reasonable control does not automatically cancel the Project or remove obligations that can reasonably continue to be performed.
Where such circumstances materially affect the Project, the delivery timeline may be extended, the Project may be temporarily paused, or the parties may discuss a reasonable alternative arrangement.
This Section does not excuse either party from obligations that could reasonably have been performed despite the circumstances, and does not remove any rights or obligations that cannot be excluded under applicable law.
37. General Terms & Severability
These Terms, together with the Client's confirmed Package, confirmed Add-ons, applicable Project details, and any written agreements expressly accepted by Sanado and the Client, form the agreement governing the applicable Project and services.
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect to the extent permitted by applicable law.
A failure or delay by Sanado or the Client to enforce a provision or right under these Terms does not mean that party has permanently waived that provision or right.
Any exception, modification, or additional agreement relating to a specific Project must be clearly agreed by Sanado and the Client. Such agreement applies only to the relevant Project or matter unless expressly stated otherwise.
The Client may not transfer their rights or obligations under these Terms to another person or organization without Sanado's prior agreement where such transfer would materially affect the Project or Sanado's ability to provide the agreed services.
Nothing in these Terms creates a partnership, employment relationship, joint venture, or agency relationship between Sanado and the Client.
These Terms apply to the extent permitted by applicable law and do not remove rights or obligations that cannot legally be excluded or limited.
38. Contact Information & Acceptance
For questions, concerns, or requests relating to these Terms, a Project, or Sanado's services, the Client may contact Sanado through the official communication channels provided by Sanado.
By submitting an order, confirming a Project, making a required payment, or selecting the confirmation checkbox stating that the Client has read and accepted these Terms, the Client confirms that they have reviewed, understood, and agreed to be bound by these Terms and the applicable confirmed Project details.
The Client is responsible for ensuring that the person accepting these Terms has the authority to do so on behalf of the Client or the relevant business where applicable.
The version of these Terms accepted by the Client in connection with the confirmed Project will apply to that Project, subject to Section 34 and any changes required by applicable law.
If any conflict exists between these Terms and a specific written agreement expressly agreed by Sanado and the Client for a particular Project, the specific written agreement will apply to that Project to the extent of the conflict.
39. Notices & Official Communications
Official Project communications, approvals, requests, notices, and other relevant communications may be made through the communication channels designated or reasonably used by Sanado for the applicable Project.
Sanado may communicate with the Client through email, WhatsApp, official forms, or other communication channels agreed or used during the Project.
The Client is responsible for providing accurate and current contact information and for reasonably monitoring the communication channels used for the Project.
Where these Terms require the Client to provide approval, confirmation, information, feedback, or another response, Sanado may rely on communications reasonably appearing to come from the Client or an authorized representative of the Client.
The Client is responsible for ensuring that any person communicating or providing approvals on behalf of the Client has the appropriate authority to do so.
A communication relating to a Project will be treated as received when it has been successfully delivered through the applicable communication channel, subject to reasonable evidence that the communication was sent or delivered.
The Client should promptly inform Sanado if their contact information changes or if an authorized representative is no longer permitted to communicate or make decisions on the Client's behalf.
Nothing in this Section prevents Sanado and the Client from agreeing to use a different communication method for a specific Project.
40. Independent Service Provider Relationship
Sanado provides its services as an independent service provider.
Nothing in these Terms, a Project, Sanado Managed Hosting, a Website Update, or any other service arrangement creates an employment relationship, partnership, joint venture, agency relationship, or other business relationship between Sanado and the Client beyond the agreed provision of services.
Sanado does not become responsible for operating, managing, or making business decisions on behalf of the Client or the Client's business unless a specific responsibility is expressly included in the confirmed Project scope.
The Client remains responsible for their business, business decisions, products, services, customers, legal obligations, marketing activities, and the operation of their business.
Where Sanado provides technical services such as website development, deployment, hosting, or confirmed Website Updates, those services do not give Sanado authority to make business, legal, financial, or commercial decisions on behalf of the Client.
The Client may not represent Sanado as an employee, partner, legal representative, agent, or authorized decision-maker of the Client's business unless Sanado has expressly agreed otherwise in writing.
41. No Waiver & Continuing Effect
A failure or delay by Sanado or the Client to enforce any right, obligation, or provision under these Terms does not mean that the party has waived that right or permanently given up the ability to enforce it.
Any waiver of a right or provision must be expressly communicated and applies only to the specific situation for which it was given, unless otherwise clearly agreed.
The completion, cancellation, expiration, or termination of a Project or service does not affect obligations or provisions that are intended by their nature to continue after the Project or service ends.
Such provisions may include obligations relating to unpaid amounts, ownership and intellectual property, source-code licensing, confidentiality, limitations of liability, dispute-related matters, and any other provisions that reasonably need to continue after the relevant Project or service has ended.
Nothing in this Section creates obligations beyond those expressly stated in these Terms or required by applicable law.
42. Assignment & Transfer
The Client may not transfer or assign their rights or obligations under these Terms or an active Project to another person or organization without Sanado's prior written agreement where the transfer would materially affect the Project, services, payment obligations, communication, or Sanado's ability to perform the agreed work.
Sanado may use employees, contractors, or service providers to assist in providing the agreed services, provided that Sanado remains responsible for managing the applicable Project in accordance with these Terms.
A change in the Client's business ownership or internal business structure does not automatically cancel an active Project or remove outstanding obligations under these Terms.
Any approved transfer or assignment of a Project or agreement will remain subject to these Terms unless Sanado and the relevant parties expressly agree otherwise in writing.
Nothing in this Section requires Sanado to continue a Project with a new owner, representative, organization, or other party where the change would materially alter the agreed Project scope, responsibilities, risk, or working relationship.
43. Entire Agreement & Order of Priority
These Terms, together with the Client's confirmed Package, confirmed Add-ons, applicable Project details, and any specific written agreement expressly agreed between Sanado and the Client, form the complete agreement governing the applicable Project and services.
If there is a conflict between documents relating to the same Project, the following order of priority will generally apply:
1. Any specific written agreement expressly agreed by Sanado and the Client for that Project;
2. The Client's confirmed Package, Add-ons, and Project-specific details;
3. These Terms.
Project discussions, proposals, messages, or other communications that are not expressly confirmed as part of the agreed Project scope do not automatically create additional obligations for Sanado.
Any change to the agreed Project scope, pricing, Deliverables, or other material terms must be expressly confirmed by Sanado and the Client before it becomes part of the applicable Project.
These Terms replace prior general discussions or understandings relating to the applicable Project, except for terms expressly incorporated into the confirmed Project agreement.
44. Authority, Client Representations & Legal Rights
The Client confirms that they have the legal authority and necessary rights to enter into the applicable Project agreement and to accept these Terms.
Where the Client acts on behalf of a business, organization, or another person, the Client confirms that they have the authority to request the services, approve Project decisions, provide instructions, and accept these Terms on behalf of that party.
The Client confirms that they have the necessary rights, permissions, licenses, and authority to provide any content, images, logos, trademarks, documents, information, account access, or other materials submitted to Sanado for use in connection with the Project.
The Client remains responsible for obtaining any permissions, approvals, or licenses required for Sanado to use Client-provided materials as instructed by the Client.
Sanado may reasonably rely on instructions, approvals, permissions, and information provided by the Client or an authorized representative of the Client.
The Client is responsible for ensuring that Client-provided materials and instructions do not knowingly infringe the rights of others or violate applicable laws or regulations.
If a third party makes a claim relating to Client-provided materials, information, instructions, or unauthorized use of content supplied by the Client, the Client remains responsible for the accuracy, legality, and rights associated with those materials.
Nothing in this Section requires the Client to guarantee matters outside their reasonable knowledge or control.
45. No Third-Party Beneficiaries
These Terms and the applicable Project agreement are intended solely for the benefit of Sanado and the Client.
Except where expressly required by applicable law or specifically agreed in writing, no third party, including the Client's customers, employees, contractors, partners, affiliates, or other persons, is entitled to enforce or claim rights under these Terms.
Nothing in these Terms creates a contractual relationship between Sanado and any person or organization other than the Client, unless Sanado expressly agrees otherwise in writing.
The Client remains responsible for managing their own relationships with customers, employees, contractors, partners, and other third parties.
Any benefit received by a third party as a result of Sanado's services does not automatically create a legal right, claim, guarantee, or obligation between Sanado and that third party.
46. Electronic Acceptance & Records
The Client agrees that Project confirmations, approvals, requests, instructions, acknowledgments, and acceptance of these Terms may be provided electronically through Sanado's designated communication channels, including online forms, email, WhatsApp, or other electronic methods used for the applicable Project.
The Client's electronic acceptance of these Terms, including selecting a confirmation checkbox, submitting a form, confirming a Project, or otherwise providing clear electronic confirmation, may be treated as evidence of the Client's agreement to the applicable Terms and Project details.
Electronic communications and records relating to the Project may be retained by Sanado for reasonable business, operational, support, and record-keeping purposes.
The Client is responsible for ensuring that electronic confirmations, approvals, or instructions provided on their behalf are given by an authorized person.
Nothing in this Section limits any requirement under applicable law relating to contracts, electronic records, signatures, or consumer rights.
50. Feedback, Reviews & Testimonials
Sanado may invite the Client to provide feedback, a review, testimonial, rating, or other voluntary comments regarding the Project or Sanado's services.
The Client is not required to provide a review or testimonial unless separately agreed.
Where the Client voluntarily provides a testimonial, review, or feedback that Sanado wishes to use for promotional purposes, Sanado may display or reference the content in connection with its portfolio, website, social media, marketing materials, or other promotional communications, subject to applicable law and any reasonable confidentiality requirements communicated by the Client.
Sanado may reasonably edit testimonials or feedback for formatting, grammar, length, or clarity, provided that such editing does not materially change the meaning or create a false representation of the Client's opinion.
Sanado will not knowingly fabricate a Client testimonial or falsely represent that the Client provided an endorsement.
Where appropriate, Sanado may identify a testimonial using the Client's name, business name, role, or other information reasonably associated with the Client, subject to the Client's permission where required.
Nothing in this Section requires the Client to provide feedback, a review, or a testimonial.
51. Sanado Managed Hosting
Sanado Managed Hosting is a continuous recurring professionally managed production hosting service for Client websites. It keeps the website online and is separate from Website Updates, revisions, Add-ons, and other content or development work.
Website Packages include a limited complimentary period of Sanado Managed Hosting as follows: Starter — 1 month, Pro — 2 months, and Growth — 3 months. Complimentary months are Sanado Managed Hosting only, are not forever-free hosting, and do not include content updates.
After the applicable complimentary period ends, Sanado Managed Hosting continues on a paid plan. Current plan prices are: $3 per month, $15 for 6 months, and $29 per year, unless a different price is expressly agreed in writing.
When a paid hosting payment becomes due, the Client receives a 30-day payment window. During that window, the website remains online and hosting remains active. No reactivation fee applies if the Client pays during the payment window.
The hosting amount that became due for the applicable billing period remains payable if unpaid.
If payment remains unpaid after the complete 30-day payment window, the website may be suspended and go offline. Suspension and termination are separate concepts.
No additional hosting charges accumulate while the website remains suspended. The Client does not accrue hosting debt for months spent offline after suspension.
To reactivate a suspended website while the Project remains retained under Sanado's applicable project-retention policy, the Client must pay: (1) the previous unpaid hosting amount, (2) a $10 reactivation fee, and (3) the newly selected hosting plan. Example totals when the unpaid amount is $3: Monthly $16, 6 Months $28, Yearly $42.
The Client may select a different hosting plan at reactivation. The selected plan determines the new hosting period after successful payment.
Compatible client-managed hosting (external hosting) may be used subject to compatibility. The Client remains responsible for that environment's setup, costs, and ongoing operation unless Sanado expressly agrees otherwise.
A hosting transfer to a compatible client-selected hosting environment is available for a $30 one-time fee, subject to compatibility. Hosting transfer means moving the website's deployment; it does not automatically transfer the private source-code repository or Sanado's reusable development materials.
Domain ownership and hosting management are separate. Nothing in these Terms transfers ownership of a Client's domain to Sanado merely because Sanado manages or configures hosting or DNS.
Sanado Managed Hosting does not promise 100% uptime, unlimited traffic, unlimited bandwidth, unlimited storage, guaranteed speed, or guaranteed search rankings.
Long-term retention of a suspended Project is subject to Sanado's applicable project-retention and termination policy. Sanado does not invent a deletion timeline in these Terms beyond that policy.
